TERMS & CONDITIONS — WEB WORX DESIGNS

These Terms & Conditions apply to all services offered by Web Worx Designs, including:
Websites, App Development, Game Development, System Development, Digital Marketing, SEO, Branding, Graphic Design, Illustrations, Menu Design, Outsourced Staffing/Contracting, and all related digital services.

1. Project Scope & Commencement

Work begins once:

  • The project scope is agreed to in writing (email, message, proposal, or signed document)

  • The required deposit is paid

  • All necessary content, assets, and access details are supplied by the client

Any change outside the agreed scope (features, pages, branding, components, size, integrations) will be billed separately.

2. Payment Terms

Unless otherwise agreed:

  • 50% deposit is required to begin any project

  • 50% final payment is required before delivery, launch, or release of files

For monthly outsourcing/staff leasing:

  • The full monthly fee is due in advance, on or before the first day of the month

  • Work will not continue without payment

All payments are non-refundable due to the custom nature of our work.

3. Late Payments & Interest

All invoices must be paid by the due date.

If an invoice remains unpaid:

  • A 2.5% interest charge per month will be added to the outstanding balance

  • Interest continues accumulating monthly until the amount is fully paid

  • Web Worx Designs may pause work, lock access to systems, or withhold deliverables until the account is settled

  • Failure to pay may result in the account being handed over to a collections partner

This applies to:

  • Project invoices

  • Monthly outsourcing invoices

  • Hosting or maintenance fees

  • Retainers

  • Additional service orders

4. Client Responsibilities

The client must provide:

  • Clear instructions and accurate information

  • Required content (text, images, branding, logins, product lists, etc.)

  • Timely feedback

  • Access to platforms or accounts needed for completion

Delays in receiving content or approvals may extend the project timeline.

5. Revisions

Each service includes a fixed number of revisions, detailed in the quote or package. Additional or repeated revisions are billed at our hourly rate.

6. Ownership & Licensing

Clients receive ownership of:

  • Final paid deliverables

  • Final website, app, graphic design, illustration, menu design, or system files

  • Branding elements included in the package

Web Worx Designs retains ownership of:

  • All drafts, sketches, test builds, mock-ups, and unused concepts

  • Proprietary tools, methods, systems, and workflows

  • Portfolio rights (unless confidentiality agreement signed)

  • Internal source files not included in the package (e.g., raw layered design files, uncompiled code, editing files, working assets)

Final deliverables are transferred only after full payment.

7. Portfolio Rights

Unless a confidentiality agreement is signed before project start, Web Worx Designs may:

  • Display the completed project in our portfolio

  • Showcase screenshots, case studies, or visuals

  • Mention your brand as a client

This helps us market future work and demonstrate proven skill.

8. Outsourced Staffing / Temporary Contracting

Web Worx Designs offers remote workers on a monthly contract basis.

By using this service, the client agrees to:

  • Full payment upfront for each month

  • Remote-only work unless otherwise arranged

  • Tasks and expectations must be clearly defined

  • Confidentiality is strictly maintained

  • Early cancellation requires 30 days’ written notice

  • Over-hours work or additional tasks may carry additional charges

9. Timelines & Delivery

Timeline estimates depend on:

  • Scope size

  • Complexity

  • Client responsiveness

  • Third-party platforms

Delays caused by the client will extend delivery dates.

Web Worx Designs is not responsible for delays caused by hosting providers, Wix, Shopify, GoDaddy, GitHub, app stores, or other external systems.

10. Third-Party Services & Integrations

Many services require third-party tools such as:

  • Hosting platforms (Wix, GoDaddy, Shopify, WordPress)

  • Payment processors (PayFast, PayPal, Stripe)

  • Domain providers

  • APIs and plugins

Web Worx Designs is not responsible for:

  • Fees charged by third parties

  • Downtime, errors, or failures of third-party systems

  • Losses due to third-party policies or limitations

11. Cancellations

If a client cancels a project:

  • The deposit is forfeited

  • Any work completed beyond the deposit will be billed

  • No refunds will be provided

Web Worx Designs may cancel a project due to:

  • Non-payment

  • Abuse or harassment

  • Illegal or unethical project requirements

12. Confidentiality

Any confidential materials shared by the client will be kept secure and not disclosed unless required by law.

13. Liability Limitation

Web Worx Designs is not liable for:

  • Business losses, revenue loss, or opportunity loss

  • Security breaches on external platforms

  • Data loss caused by third-party systems

  • SEO performance fluctuations

  • Edits made by the client after handover

  • Hosting issues, platform outages, or plugin failures

All work is delivered “as is” and with reasonable professional quality.

14. Termination of Access

We reserve the right to suspend access to websites, systems, or services if:

  • Payment is overdue

  • Our team is being abused or harassed

  • The project is used for illegal purposes

Once payment is resolved, access can be reinstated.

15. Governing Law

These Terms & Conditions are governed by the laws of South Africa, but apply to local and international clients.
